Please read these Terms and Conditions (these “Terms,” or the “Terms and Conditions”) carefully before using the www.merituscollege.org website (“Site”) or accessing any platform(s), products, courses, offerings, educational content, or services (the “Services”) provided by Meritus College, LLC (“us”, “we”, “our”, or “College”). Users, students, learners, or any other parties or individuals using the Services shall be referred hereinafter as “User”, “you”, “your”, or “Student”.
These Terms of Service (the “Terms”) are a binding contract between you and College. Your access to and use of the Services is conditioned upon your acceptance of and compliance with all these Terms, and by accessing or using the Services you agree to be bound by these Terms, including the Privacy Policy (“Privacy Policy”). Your use of or participation in certain Services may also be subject to additional policies, rules and/or conditions (“Additional Terms”), which are incorporated herein by reference, and you understand and agree that by using or participating in any such Services, you agree to also comply with these Additional Terms. If you disagree with any part of these Terms then you do not have permission to access the Services. These Terms apply to all visitors, users and others who wish to access or use the Services.
College reserves the right to revise the Terms or modify any features of the Services at any time at our sole discretion. The most current version can be viewed on this webpage, and may be updated from time to time. If these Terms are changed, amended or modified, we will place a notice on our site, send you an email, and/or notify you by some other means. If you continue to use the Services after a change of Terms is effected, including by enrolling in any program or participating in course activities, you will be deemed to have accepted the changes in full. The Privacy Policy and Additional Terms may be changed as provided therein. You are expected to stay updated on all applicable changes, terms, and policies.
You must be at least 18 years of age or older to use the Services, except as provided for below. By using the Service, you represent and warrant that: (a) you are 18 years of age or older; (b) you reside in the United States; (c) if you are under the age of 18, that you have permission of a guardian as to your use of Services (and have gotten your parent or guardian to agree to these Terms on your behalf); (d) you will only use the Services for your own internal, personal use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you; (e) all registration information you submit to us is truthful and accurate; (f) you will maintain the accuracy of any information that you provide College, as inaccurate, incomplete, or obsolete information may result in the immediate termination of your use of Services or any accounts you create for such purpose on the College website; and (g) your use of the Services does not violate any applicable law or regulation. Any use or access by anyone under the age of 18, non-US residents, and anyone who is otherwise not competent to contract is prohibited.
Additional Terms may apply and set further requirements for enrollment in College courses, programs, or access to educational content or services. You are advised to refer to any such Additional Terms that may be applicable upon you in connection with the courses, programs, or access to educational content or services you are attempting to access.
Provided that you comply with these Terms, and subject to any applicable Additional Terms, we grant you a limited, revocable, nonexclusive, nonassignable, nonsublicensable license and right to access the College website, through a generally available web browser or mobile device. Any content displayed on the Site is proprietary and may not be copied or shared, except as expressly permitted by us. As to any educational content, you may use materials only during course enrollment, and in compliance with these Terms and any applicable Additional Terms. Use of such educational content is restricted to active students and reproduction of materials is not permitted. We reserve to ourselves the right to use third party materials in providing our Services, and make no warranties or representations as to any content that is provided to you during the delivery of our Services, except as required by applicable law.
You may not access or use the Services for any purposes other than that for which College has made the Services available. You may not use Services in connection with any commercial endeavors except those that are specifically endorsed or approved by us. You agree not to:
- Systematically retrieve or scrape data or other content from the Site or Services to create or compile, directly or indirectly, a collection, compilation, database, content, or directory without written permission from us;
- Infringe upon or violate the intellectual property rights or any other rights of anyone else (including College);
- Use Services in any manner is dangerous, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
- Attempt, in any manner, to obtain the password, account, or other security information from any other user, or violate the security of any computer network, or cracks any passwords or security encryption codes;
- Copy or store any significant portion of any content provided to you as part of the Services, including by taking pictures of such content by another device, using the screenshot feature(s) on your device, or by otherwise recording videos of any part of the Services;
- Decompile, reverse engineer, or otherwise attempt to obtain the source code or underlying ideas or information of or relating to the Services;
- Use the Site in a manner inconsistent with any applicable laws or regulations.
A violation of any of the foregoing is grounds for termination of your right to use or access the Services. Please note that this list is not exhaustive and may be supplemented by Additional Terms or agreements that you may enter into with College, and by other policies or handbooks as may be applicable upon you in connection with your use of Services. College reserves the right to promulgate, amend, add to, create, or otherwise make applicable any such guidelines, policies, codes of conduct, handbooks, or other rules that may add to this list of Prohibited Uses.
The College maintains strict policies against plagiarism and requires enrolled students to act professionally and respectfully in all interactions. Academic honesty is a core part of student conduct expectations and violations may lead to dismissal from programs. Students must maintain integrity across all work and assessments in our self-paced learning environment. Standards of conduct outlined elsewhere.
By creating an account to use the Services, you may be given the option to subscribe to a newsletter, marketing or promotional material, or other types of email communications, including operational communications pertaining to your account, that College sends. The main purpose of these communications is to help you remain abreast of the Services, including new or updated offerings, so that you may better access the Services. You may opt out of receiving any, or all, of the optional, non-necessary communications from these by following the instructions provided by College. We reserve the right to monitor, store, or otherwise use these communications to improve the quality of communication, subject to these Terms and applicable law.
College makes no warranties, representations, or assurances of any kind, unless as required by applicable law, that the Site or any of the Services shall remain available uninterrupted or in any other form to Users. The Site and the Services may contain errors and omissions. College reserves the right to make changes or modifications to the Site or its Services, as may be necessary in College’s sole discretion and determination, without prior notice. College also reserves the right to cancel, discontinue, reschedule, delay, change instructors for or modify any course, or other Services.
You understand and agree that College shall not be responsible for any delay, inability, or failure to access the Site due to any cause, including but not limited to acts of God, natural disasters, government orders, labor unrest, malfunction of user hardware or software, interruption in internet service, loss or corruption of data, and unanticipated suspension or cessation of service from any underlying service provider.
By using the Services, you acknowledge and agree that any information you provide or that is collected by College in connection with your use of the Services will be handled in accordance with these Terms and our Privacy Policy. If you do not agree to the Privacy Policy, you may not access or use the Services.
Although College is committed to safeguard and protect your information, you understand and agree that we do not guarantee the privacy or security of any data provided through the Site or by use of the Services. You are solely responsible for taking precautions and providing security measures best suited to your specific needs and intended use of the Services.
As to those Users that enroll in College programs, courses or offerings, College complies fully with Family Educational Rights and Privacy Act (FERPA) requirements and maintains strict limits on data sharing in compliance with education privacy laws. Student records are protected and access is limited to authorized personnel. Data is stored securely in student portals with transparent internal policies governing access and use. You acknowledge and agree that College may share certain information, as permitted by applicable law, including FERPA, as necessary, with trusted partners or employers as part of career placement services. Data collection and use are limited strictly to operational and educational purposes.
College hereby grants to you a revocable, royalty-free, non-exclusive, non-transferable, non-sublicensable right and license to use all names, marks and logos associated with Meritus College (collectively, “Meritus College Marks”) during the Term, solely in furtherance of our obligations offered to you, specifically and as applicable, to: (i) denote that you are enrolled in any of the College’s offerings, courses, or programs; (ii) use materials provided by College to you as part of your enrollment in and use of College’s offerings, courses, or programs; (iii) perform any activities required or incidental to your enrollment in and use of College’s offerings, courses, or programs; or (iv) further your search for employment, paid work, or any other similar activity or activities that form a natural consequence of your enrollment in and use of College’s offerings, courses, or programs. Any other use of Meritus College Marks shall be subject to College’s prior written approval in each instance. Notwithstanding the above, College reserves the right to request that you remove or modify your use of Meritus College Marks, if College determines, at its sole discretion, that your use of Meritus College Marks does not conform to any of the guidelines contained herein or may otherwise bring the College into disrepute or if your use of Meritus College Marks is offensive, unlawful, or otherwise violates your binding agreements with College.
Meritus College warrants and represents that it has (or has obtained from all appropriate rights holders) all necessary rights and authority to grant the license granted by it hereunder. Meritus College hereby covenants and agrees that the Meritus College Marks shall remain the sole and exclusive property of Meritus College and that you shall not hold itself out as having any ownership rights with respect thereto. Any and all goodwill associated with the Meritus College Marks shall inure directly to the benefit of Meritus College. Upon termination or expiration of these Terms for any reason, you shall discontinue all use of the Meritus College Marks. Your use of Meritus College Marks must conform to Meritus College’s usage guidelines and instructions as Meritus College may provide in writing to you from time to time (and in no event shall the color, style, appearance, or relative dimensions of the Meritus College Marks be altered or changed in any way).
Accommodations are available through a formal request process and College’s Services are designed with flexibility to support diverse learning needs, in compliance with applicable law. Accessibility support is coordinated through student services and integrated into our learning management system and coaching structure.
Unless otherwise specified herein, communications pursuant to these Terms (including any notice and consent hereunder) must be in writing and may be provided by any of the following: email, first class mail (return receipt requested), or courier. College reserves the right to make changes to these Terms at any time. You are responsible for reviewing and becoming familiar with any changes to these Terms. Your use of Services following such changes constitutes your acceptance of the updated Terms. Should any provision of these Terms be held to be void, invalid, unenforceable, or illegal by a proper legal authority, the validity and enforceability of the other provisions shall not be affected and, to the extent possible, the void, invalid, unenforceable, or illegal provision shall be modified so that it is valid, enforceable, legal, and to the fullest extent, reflects the intention of the Parties.
Users are responsible for reliable technology and internet access needed for program participation. College may, at its discretion or as required by applicable law, provide technical support and lists requirements during application. Users must meet basic technology standards to access learning platforms and complete coursework.
College uses third-party digital workplace platforms and software, including but not limited to Zoom, Slack, Google Suite, learner management systems, and assessment platforms. This includes integration of third-party learning tools and platforms for an enhanced educational experience. By using College’s Services, you agree to College’s use of third party software and platforms, and to comply with any additional terms that may apply to you as a user of such third party platforms or services. You understand and agree that College shall not be held responsible for any disputes arising out of your use of any third party platforms or services that are incidental to your use of the Services.
College offers, whether directly or by use of third party affiliates, certain student support services, including but not limited to advising, tutoring, career resource, and technical assistance to increase the learning experience of those users enrolled in College’s programs, offerings, or courses. These student support services are provided as a resource and do not guarantee specific outcomes or results. College reserves the right to modify, change providers for, alter, or discontinue these student support services at its discretion.
The Site, its original content (excluding any provided by users), features and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), and the Services, including all elements of the Services are and will remain the exclusive property of College and its licensors; or are used with permission. The Site and Services are protected by trademark and other laws of the United States. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said original content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.
You agree to defend, indemnify and hold harmless College and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) content posted by you on the Site or during your use of the Services, including that any allegation that any such content infringe or otherwise violate the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party.
College reserves the rights to immediately terminate or suspend your access to all or part of the Website for any violation of these Terms. Access can be revoked for misconduct or breach of terms. College may suspend or remove access for violations of these terms or inappropriate behavior, or for policy violations, in each instance at College’s sole and exclusive discretion.
To the fullest extent provided by law, in no event shall College, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the services, any websites linked to it, any content on the Site, Services or any other platform, including any direct, indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site or the Services; (ii) any conduct or content of any third party on the Site or Services; (iii) any content obtained from the Site or Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
These Terms shall be governed and construed in accordance with the laws of Utah, United States, without regard to its conflict of law provisions. You hereby submit to that exclusive jurisdiction, including waiving any objection to personal jurisdiction without regard to any principles of conflicts of laws. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Site or Services, and supersede and replace any prior agreements we might have had between us regarding the Site or Services.
